AINOW EduOS — AI-Native Education Operating System

1. Acceptance of Terms

By creating an account, registering an institution, accessing, or using the AINOW EduOS platform, software applications, APIs, mobile solutions, or associated autonomous AI services (collectively referred to as the "Platform"), you ("Customer", "User", or "Institution") acknowledge that you have read, understood, and agreed to be legally bound by these Terms of Service ("Terms").

These Terms constitute a legally binding agreement between your institution and AINOW Pte. Ltd. (UEN: 202599999E), registered in the Republic of Singapore. If you do not agree to all terms and conditions set forth herein, you must refrain from registering, accessing, or using the Platform immediately.

Key Summary:Using or subscribing to AINOW EduOS implies full acceptance of these terms by an authorized institutional representative.

2. Service Description

AINOW EduOS provides an all-in-one, AI-powered education management operating system specifically architected for Singapore educational entities and private training institutions. Supported institution categories include:

The Platform provides student lifecycle management (CRM, enrolment, attendance, grading), automated SGD billing & invoicing, intelligent timetable scheduling, parent/teacher portals, and integrated compliance tools configured for Ministry of Education (MOE) guidelines, Personal Data Protection Act (PDPA) policies, EduTrust frameworks, Enhanced Registration Framework (ERF), and Fee Protection Schemes (FPS).

3. Account Registration & Eligibility

To access and administer the Platform, you must complete the registration process to establish an institutional tenant account.

Authorized Institutional Representative:You represent and warrant that the individual registering the account is an authorized director, owner, principal, or designated administrator with legal authority to enter into binding commitments on behalf of the institution.

Accurate Registration Details:You agree to provide true, accurate, current, and complete information regarding your institution, including registered ACRA business entity details, contact information, and billing metrics.

Age Requirement:Account creators and institution administrators must be at least 18 years of age.

You are solely responsible for maintaining the confidentiality of login credentials and for all activities that occur under your institutional account.

15% Annual Billing Discount:Institutions selecting annual prepayment receive an automatic 15% discount on their recurring monthly software subscription fees.

Fair Average Daily Active (ADA) Metered Counting:Student tier billing is computed fairly using Average Daily Active (ADA) metered counting. Active student days are summed during the 30-day billing cycle and divided by 30. A student who enrolls or graduates mid-month only counts for their exact active days enrolled, preventing unfair full-month overcharges.

5. 14-Day Free Trial

New institutions qualify for a 14-day free trial period starting immediately upon account activation.

No Credit Card Required: Trial activation requires no credit card, PayNow setup, or financial commitment.
Full Feature Access: Access all 9 AI agents, parent portals, timetable optimizer, and reporting suite.
Seamless Transition: At the end of 14 days, you can choose a paid subscription or export your test data. Account features pause safely if no subscription is activated.

6. Payment Terms & Methods

All invoices are denominated and payable in Singapore Dollars (SGD). Invoices are issued electronically on a monthly or annual billing cycle.

Supported Payment Methods:PayNow UEN (Singapore Corporate QR), FAST / Interbank Transfer, Credit & Debit Cards (Visa, Mastercard, AMEX), and Direct Debit GIRO.

Late Payment Interest:Invoices not settled within 14 calendar days of the due date are subject to a late payment fee of 1.5% per month (or the maximum permitted under Singapore law) calculated daily on the outstanding balance until fully cleared.

7. Acceptable Use Policy

You agree to use the Platform strictly in compliance with applicable Singapore laws and institutional ethical standards. You shall not:

•Reverse engineer, decompile, or extract platform source code or AI models

•Perform unauthorized data scraping, harvesting, or automated vulnerability probing

•Attempt to breach authentication or bypass role-based access control gates

•Transmit unsolicited commercial spam, malware, or unlawful content via portal chat

•Upload false, misleading, or infringing student or financial records

•Resell, sub-license, or lease platform access to unauthorized third parties

8. Intellectual Property Rights

AINOW Pte. Ltd. Ownership: All rights, title, and interest in and to AINOW EduOS—including software architecture, AI agent algorithms, neural network prompts, user interface design, domain names, logos, and trademarks—remain the exclusive intellectual property of AINOW Pte. Ltd. and its licensors.

Customer Rights: Subject to compliance with these Terms, AINOW grants your institution a non-exclusive, non-transferable, revocable license to access and use the Platform during your active subscription term.

9. Data Ownership & Portability

100% Customer Data Ownership:Your institution retains full, uncompromised ownership of all student profiles, parent details, tutor records, attendance data, curriculum documents, and financial ledgers ("Customer Data"). AINOW claims zero ownership over your institution's data.

Data Portability & Export: You may export your complete Customer Data at any time in standardized CSV or JSON formats directly through the platform admin panel. We guarantee no vendor lock-in.

All data processing complies strictly with the Singapore Personal Data Protection Act (PDPA 2012).

10. Autonomous AI Agent Usage & Governance

AINOW EduOS incorporates 9 specialized autonomous AI agents (Admissions, Scheduling, Invoicing, OCR Homework Inspector, Parent Liaison, Compliance, Curriculum, Payroll, and Multi-Branch Sync).

Human-in-the-Loop Control Gates:All AI agents operate under customizable permission gates. Your administrators can set autonomy levels for each agent (Fully Autonomous, Human Approval Required, or Disabled).

AI Output Liability Disclaimer:AI agents generate suggestions, drafts, report card text, OCR grades, and schedules based on algorithm processing. While optimized for Singapore MOE standards, AINOW is not liable for errors, omissions, or misinterpretations in AI-generated output. Final review and verification remain the responsibility of institutional staff.

11. Service Level Agreement (SLA) & Uptime

AINOW maintains a targeted operational uptime of 99.9% for Growth and Enterprise subscription plans, excluding scheduled maintenance windows.

Scheduled Maintenance:Routine server maintenance and infrastructure upgrades are performed during off-peak Singapore hours (1:00 AM – 5:00 AM SGT). Customers receive at least 48 hours advance notification via email and in-app banner.

12. Limitation of Liability

To the maximum extent permitted under Singapore law:

Liability Cap:AINOW Pte. Ltd.’s total cumulative liability arising out of or related to these Terms or the Platform shall not exceed the total subscription fees paid by the Customer to AINOW in the 12 months immediately preceding the event giving rise to the claim.

Indirect Damages Exclusion:In no event shall AINOW be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profit, business interruption, or loss of reputation.

13. Term & Termination

Either party may terminate the subscription agreement by providing 30 days written notice prior to the renewal date of the next billing cycle.

90-Day Post-Termination Data Retention:Upon termination, your account transitions into read-only export status for 90 calendar days. During this window, you can download all historical data in CSV/JSON formats. After 90 days, Customer Data is permanently and securely purged in accordance with PDPA sanitization protocols.

14. Singapore Governing Law

These Terms of Service shall be governed by, construed, and enforced in accordance with the laws of the Republic of Singapore, without giving effect to conflicts of law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or invalidity thereof shall be submitted to the exclusive jurisdiction of the Courts of the Republic of Singapore.

15. Modifications to Terms

AINOW reserves the right to modify or replace these Terms at any time to reflect software updates, regulatory changes in Singapore education laws, or operational requirements.

30-Day Material Change Notice:If a modification materially alters your institutional rights or financial obligations, we will provide at least 30 days advance notice via email to registered account administrators and a prominent notice on the platform dashboard.
